Dear Sirs,

We would like to partecipate in a TENDER as supplier of a company (beneficiary) that is taking part on http://WWW.FONDURI-UE.RO

The form n. 3 of the documentations we are asked to fill, says:

declaram pe proprie raspundere, sub sanctiunea excluderii din procedura de achizitie publica si sub sanctiunile aplicabile faptei de fals in acte publice, ca nu ne aflam in urmatoarele situatii prevazute in OUG nr. 66/2011 ca fiind de natura a determina aparitia unui conflict de interese, ci situatia noastra este urmatoarea:
- intre noi si structurile actionariatului beneficiarului nu exista legaturi;
- intre noi si membrii comisiei de evaluare nu exista legaturi;
- nu ne aflam in situatia de a avea pachetul majoritar de actiuni in cel putin alte doua firme care sa fi depus oferte in cadrul aceluiasi proces de achizitie.

My main concerns is to understand the meaning of the word "LEGATURI" between the supplier and the beneficiary.
the legal INTERPRETATION of it is:
- there must be no links/connections of LEGAL type (for example: our company must not be shareholder of the beneficiary and/or vice-versa; and the same with the members of the commission) ?
or
- there must be no links/connections of COMMERCIAL type (for example: we, supplier, have done business before with the beneficiary; or for example: we are making regular business with a sister company of the beneficiary company) ?

Your answer will be much IMPORTANT for us to understand if there is a conflict of interest and if we can partecipate or not: because we regulary sell products/goods to a third company where the owner is the same of the beneficiary company, but we don't have any LEGAL connections with the two mentioned companies in Romania.

To fully understand the request on the form you must reffer to the legal provision that is imposing it. Thus, one must access online O.U.G. (which is Government Emergency Ordinance) number 66/2011.

Article 14 of the above legal provision states the following:

During the application of the procurement procedure, the beneficiaries private or legal individuals, have the obligation to take all necessary measures in order to avoid situations likely to result in a conflict of interest, namely the situations where there are connections between the beneficiaries and the bidders, between members of the evaluation committee and bidders or the case when the winning bidder has majority stake in two companies participating for the same purchase.
